These Terms and Conditions govern your access to and use of Worcco's website (worcco.com) and custom digital software development, design, and SEO services.
By accessing our platform, requesting technical consultations, or entering into a Statement of Work (SOW) with Worcco (“we”, “our”, or “us”), you (“Client”, “User”, or “you”) agree to be legally bound by these terms. If you do not agree with any part of these terms, you must discontinue use of our site and services immediately.
1. Scope of Services
Worcco provides bespoke web development, mobile app design, e-commerce engineering, maintenance, and search optimization services as outlined in individual client agreements.
Our specific service offerings include, but are not limited to:
- Custom Web Development: Next.js, React, and TypeScript full-stack web applications and headless CMS architectures.
- E-Commerce Engineering: Bespoke Shopify Plus Liquid storefronts and WooCommerce platform builds.
- Search Strategy & Technical SEO: Core Web Vitals audits, Schema.org implementation, on-page optimization, and authority link acquisition.
- UI/UX & Product Design: Interactive Figma prototypes, design systems, and Conversion Rate Optimization (CRO) audits.
- Managed Platform Maintenance: 24/7 uptime monitoring, security patching, and automated daily cloud backups.
2. Client Engagements & Milestones
Each client project is governed by a dedicated Statement of Work (SOW) detailing the technical deliverables, architectural roadmap, delivery milestones, and sprint schedules:
- Client Cooperation: Timely delivery depends on client cooperation, including providing brand assets, third-party API credentials, domain access, and written approvals for design milestones.
- Milestone Signoff: Upon completion of each sprint phase, the client has a 5-business-day review window to test deliverables on our staging environment and submit revisions.
- Scope Modifications: Any requests outside the agreed Statement of Work will be documented as a separate change order with adjusted timelines and fees.
3. Intellectual Property Rights
We believe in clear, unencumbered client ownership:
- Client Ownership: Upon full and final payment of all project fees, all bespoke code, custom designs, proprietary graphics, and written content developed specifically for the client transfer completely to the client.
- Pre-Existing Frameworks & Open Source: Worcco retains ownership of our proprietary developer scaffolding, pre-existing code libraries, and tools. Worcco grants the client a perpetual, non-exclusive, royalty-free license to use, modify, and operate such components within their deliverable. Open-source libraries remain governed by their respective licenses (MIT, Apache 2.0).
- Portfolio Showcase: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), Worcco reserves the right to display completed project screenshots, design concepts, and public URL links in our portfolio and marketing materials.
4. Fees & Payment Terms
Terms regarding fees and payment structures are defined in each project proposal:
- Milestone Invoicing: Fixed-price engineering projects are invoiced according to project milestones (e.g., initial deposit, staging delivery, and final production launch).
- Retainer Billings: Monthly SEO and website maintenance retainers are invoiced at the beginning of each billing period and processed via automated electronic payment.
- Late Payments: Invoices unpaid past 14 days may result in temporary suspension of active staging servers, SLA ticket support, or live deployment schedules until accounts are reconciled.
- Taxes & Transaction Fees: Clients are responsible for any applicable local sales, value-added, or withholding taxes required by their tax jurisdiction.
5. Confidentiality & Non-Disclosure
Both Worcco and the Client agree to treat all non-public information disclosed during the engagement as strictly confidential:
This includes proprietary software architecture, business plans, financial records, customer databases, and security credentials. Neither party will disclose confidential information to any third party without prior written consent, except to authorized employees or contractors bound by equivalent confidentiality obligations.
6. Warranties & Limitation of Liability
Worcco delivers digital engineering services with senior professional skill, industry-leading performance benchmarks, and high security standards:
- 30-Day Post-Launch Warranty: Worcco provides a 30-day bug-fix warranty on all custom web builds to remediate any code defects, broken layouts, or styling inconsistencies that diverge from the approved specifications.
- Third-Party Platform Disclaimer: Worcco is not liable for service outages, API breaking changes, or billing policies imposed by third-party hosting, payment, or cloud providers (e.g., Shopify, Cloudflare, AWS, Stripe, Google).
- Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Worcco be liable for indirect, incidental, punitive, or consequential damages (including lost profits or revenue). Worcco's total aggregate liability arising out of any engagement shall not exceed the total fees actually paid by the client under the applicable Statement of Work in the three (3) months preceding the claim.
7. Term & Termination
These terms remain in effect as long as you access the website or maintain active service agreements with Worcco:
- Termination for Convenience: Either party may terminate an ongoing retainer agreement by providing thirty (30) days' prior written notice to the other party.
- Termination for Cause: Either party may immediately terminate an agreement if the other party breaches any material term and fails to cure such breach within fourteen (14) days of receiving written notice.
- Post-Termination Deliverables: Upon termination, the client shall pay for all work completed up to the effective termination date. Worcco will package and deliver all completed assets and code repositories.
8. Governing Law
These terms are governed by and construed in accordance with applicable laws.
Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the breach, termination, or invalidity thereof, shall first be addressed through good-faith executive negotiation. If negotiations fail, disputes shall be settled through binding arbitration or competent courts within our primary legal jurisdiction.
9. Amendments to Terms
Worcco reserves the right to modify these Terms and Conditions periodically to reflect technological advancements, operational enhancements, or statutory legal requirements.
When revisions occur, we will update the “Updated” date at the top of this page. Your continued use of our website or engagement of our services after such modifications constitutes your acceptance of the updated terms.
